Terms and Conditions

1. ACCEPTANCE AND ELIGIBILITY

By creating an account or using KUYY! through any device (the "Service"), you agree to be bound by these Terms and Conditions together with our Privacy Policy, Cookie Policy, Safety Tips, and Arbitration Procedures (where applicable), as well as any additional terms you agree to when purchasing additional features or services (the "Agreement"). If you do not agree to all of these terms, please do not use the Service.

We may change the Agreement and the Service from time to time, for example to reflect changes in the law, to add new features, or to change our business practices.

Eligibility

You must be at least 18 years old to create an account and use the Service. By using the Service, you represent and warrant that:

• you can form a binding contract with KUYY!;
• you will comply with this Agreement and all applicable local, national, and international laws and regulations; and
• you have never been convicted of a felony, a sex crime, or a crime involving violence, and you are not required to register as a sex offender on any registry.

2. YOUR ACCOUNT

You can sign in to KUYY! using your Google (Gmail) account. In doing so, you give us permission to access certain information from that account, including your public profile. A full explanation of the data we collect and how we use it is set out in our Privacy Policy.

You are responsible for keeping your login credentials confidential and for all activity that occurs on your account. Contact us immediately if you suspect that anyone else has accessed your account.

3. CHANGES TO AND TERMINATION OF THE SERVICE

We may add or remove features from time to time. If a change does not materially affect your rights or obligations, we may not give you advance notice. We may also suspend the Service entirely, and we will notify you beforehand except in extraordinary circumstances such as security or safety issues.

You may close your account at any time through the "Settings" menu. If you subscribed through a third party (for example iTunes or Google Play), manage your cancellation through that account so you are not charged further. KUYY! may close your account at any time without notice if we believe you have violated this Agreement, and in that case you are not entitled to a refund of any purchase.

For users in the Republic of Korea, we will promptly notify you of the reason for any action we take, unless such notice is prohibited by law or could cause harm to you, a third party, KUYY!, or our affiliates (for example, by jeopardizing the security of the Service).

After your account is closed, this Agreement terminates, except for provisions that by their nature survive — including disclaimers of warranty, limitations of liability, indemnification, and dispute resolution — which remain binding on you and KUYY!.

4. SAFETY: INTERACTING WITH OTHER MEMBERS

KUYY! is not responsible for the conduct of any member, whether on or off the Service. Be careful in every interaction with other members, especially if you communicate off the Service or meet in person. Review and follow our Safety Tips before using the Service. Never give out your financial information (such as credit card or bank account details) or send money to other members.

5. USE OF THE SERVICE: RIGHTS AND PROHIBITIONS

KUYY! grants you a personal, worldwide, royalty-free, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and enjoy the Service in accordance with this Agreement. In return, you agree not to:

• Use the Service for any purpose that is illegal, prohibited by this Agreement, harmful, or intended to damage KUYY!.
• Use the Service or its content for any commercial purpose without our written permission.
• Copy, modify, translate, sell, create derivative works from, or reproduce any copyrighted material, images, trademarks, or other intellectual property from the Service without our written permission; or reverse engineer, decrypt, decompile, and disassemble any part of the Service.
• State or imply that your statements are endorsed by KUYY!.
• Use any robot, bot, spider, scraper, crawler, proxy, or other automated process to access, index, "data mine", or bypass the navigational structure or presentation of the Service.
• Interfere with, disrupt, or negatively affect the Service, its servers, or its networks; upload viruses or malicious code; or threaten the security of the Service.
• Probe, scan, or test the vulnerability of the Service or our systems or networks.
• Forge headers or manipulate identifiers to disguise the origin of any information transmitted through the Service.
• "Frame", "mirror", or use meta tags or code to redirect users to another site without our written permission.
• Use or develop any third-party application, or access or publish the KUYY! API, without our written permission.
• Encourage or promote any activity that violates this Agreement, or breach our Community Guidelines (which may be updated from time to time).

Community Rules

In addition, you also agree not to:

• Send spam, solicit money from, or defraud other members.
• Impersonate any individual or entity, or upload images of another person without their permission.
• Bully, stalk, intimidate, harass, or defame any other person.
• Post Content that violates another person's rights, including rights of publicity, privacy, copyright, trademark, other intellectual property, or contractual rights.
• Post Content that contains hate speech, threats, pornography, nudity, graphic violence, or that incites violence, racism, or discrimination against any individual or group.
• Solicit the passwords or personal data of other members for commercial or unlawful purposes, or distribute another person's personal information without their permission.
• Use another member's account, share an account, or maintain more than one account.
• Create a new account if your account has been closed by KUYY!, except with our permission.

KUYY! may investigate and take legal action against any illegal or unauthorized use of the Service, including closing your account without a refund of any purchase.

The software we provide may automatically download and install updates, upgrades, or new features. You may be able to control these automatic downloads through your device settings.

6. YOUR CONTENT AND THE RIGHTS YOU GRANT

By creating an account and using the Service, you grant KUYY! a worldwide, transferable, sublicensable, and royalty-free license to host, store, use, copy, display, reproduce, adapt, edit, publish, modify, and distribute the information and material you upload, display, send, or make available through the Service (the "Content").

This license is non-exclusive, except for derivative works created through the Service (for example, screenshots of the Service that include your Content), which become KUYY!'s exclusive license. You also authorize KUYY! to act on your behalf against infringing uses of your Content if it is taken from the Service by other members or third parties.

Our license is subject to your rights under applicable law (including personal data protection law) and is used only to operate, develop, provide, and improve the Service. You understand that Content you place on the Service may be viewed by other members and anyone who accesses the Service.

You warrant that all information you submit is accurate and true, and that you have the right to post that Content and to grant the license above to KUYY!.

We may monitor, review, and remove any Content — in part or in full — that in our judgment violates this Agreement or could harm the reputation of the Service.

When communicating with our customer service, be respectful and courteous. We reserve the right to immediately close your account if your behavior toward our representatives or employees is threatening or offensive.

In exchange for your use of the Service, you agree that we, our affiliates, and our third-party partners may display advertisements on the Service. If you send us suggestions or feedback, KUYY! may use and share them for any purpose without compensation to you.

KUYY! may access, preserve, and disclose your account information and Content if required by law or in good faith believed necessary to:

• comply with legal process;
• enforce this Agreement;
• respond to claims that Content violates the rights of third parties;
• respond to your customer service requests; or
• protect the rights, property, or safety of KUYY! or others.

Other Members' Content

All Content is the sole responsibility of the member who posted it. Although we reserve the right to review and remove Content that violates this Agreement, KUYY! cannot guarantee that all Content complies with this Agreement. If you find Content that violates it, report it through the reporting feature on the Service or our contact form.

7. PURCHASES, PAYMENTS, AND SUBSCRIPTIONS

From time to time, KUYY! offers paid products and services ("in-app purchases") through iTunes, Google Play, carrier billing, KUYY! direct billing, or other payment platforms we approve. When you make a purchase, you confirm it through the payment provider, and your payment method (the "Payment Method") will be charged at the price displayed plus any applicable taxes. You authorize KUYY! or the relevant third party to charge you.

Automatic Renewal

Subscriptions renew automatically until you cancel them. Your Payment Method will be charged in advance at the start of each period at the price you agreed to. You may withdraw your consent to automatic payments at any time through KUYY! Settings or your third-party account, but you remain responsible for any outstanding charges.

To change or stop a subscription, follow the cancellation instructions in your third-party account or in KUYY! Settings. Deleting the KUYY! app or account does not cancel your subscription — billing continues until you formally cancel it. After cancellation, you may still use the subscription until the end of the current period, and it will not renew again.

If you dispute a charge, contact KUYY! Customer Service (for direct billing), the relevant third party (for example iTunes), or your bank or payment provider to learn the rights and time limits that apply.

Direct Payments to KUYY!

If you pay KUYY! directly, we reserve the right to correct billing errors even after payment has been processed. If you initiate a chargeback or reverse a payment, we may immediately close your account. You may update your Payment Method in Settings; if a payment fails (for example an expired card or insufficient balance) and you do not update it or cancel the subscription, you remain responsible for the unpaid charges. You also authorize us to automatically update your card details through your card issuer.

Virtual Items

You may purchase a limited, personal, non-transferable, non-sublicensable, and revocable license to use "Virtual Items" (for example "coins"). A Virtual Item balance is not real money and has no cash value. The license to Virtual Items ends in accordance with this Agreement, if KUYY! discontinues the service, or if your account is closed. KUYY! reserves the right to set fees for, distribute, manage, change, or remove Virtual Items at any time without any obligation to you or any third party. Virtual Items can only be redeemed within the Service, and ALL PURCHASES AND REDEMPTIONS OF VIRTUAL ITEMS ARE FINAL AND NON-REFUNDABLE.

Refunds

All purchase fees are non-refundable, and there are no refunds or credits for unused subscription periods. We may grant an exception if you submit a request within 14 days of the transaction, or where required by the law that applies in your region.

Subscriptions and Membership Passes

The following terms govern KUYY!'s subscription features, namely the Credits Pass Subscription and the Membership Pass Subscription:

• Types of pass: a Credits Pass lets credits be topped up automatically each period and used to join activities; a Membership Pass is a bundled package of activities at a special price for a set number of activities.
• The subscription period (1, 3, 6, or 12 months) is set by the host, starts from the date of purchase, and renews automatically for the same period until you cancel it. You are notified before a renewal takes place.
• A Membership Pass is valid only for activities from the host specified in the pass description; if an activity's price exceeds the pass value, you pay the difference.
• Passes and credits cannot be transferred or shared to another account and cannot be cashed out. Unused passes or credits carry over to the next period only if the subscription renews; otherwise, credits are forfeited. The credit conversion value may change from time to time (for example, 1 credit equals Rp25,000).
• In addition to the pass price, payment may include an Administration Fee and Additional Fees (for example taxes or platform fees), which are shown transparently along with the total before you confirm, and are also stated in the confirmation email and renewal notifications.
• Your Payment Method is charged automatically for renewals at the price in effect at that time; we notify you of any price change. Make sure your payment information is valid; if payment fails, KUYY! may suspend or cancel the subscription until payment succeeds.
• You may cancel at any time through the "Subscriptions" page in your account settings or by contacting customer service. After cancellation, the subscription does not renew, you may still use the pass or credits until the end of the period you have paid for, with no refund, and unused credits are forfeited at the end of the period.
• All subscription purchases are final and non-refundable, for both Membership Passes and Credits Passes.
• KUYY! reserves the right to change the price, features, or terms of a subscription (effective for the next period after notice), and to discontinue or suspend the subscription service if you breach these Terms and Conditions or the Community Rules, or to discontinue a particular subscription service with prior notice.
• A Membership Pass may have an activity quota per period; once the quota is used up, you may purchase an additional pass or wait for the next period. Unused quota carries over to the next period if the subscription renews.
• KUYY! sends a notification and confirmation email when you subscribe, when a renewal succeeds (with a full breakdown of fees), and when a payment fails. Your subscription and payment history is available on the "Subscriptions" page.
• If you resubscribe after cancelling, the new period starts from the resubscribe date (it does not continue the old period), at the price and terms in effect at that time; credits or passes that have already been forfeited cannot be reactivated.

8. COPYRIGHT INFRINGEMENT CLAIMS

If you believe that Content on the Service infringes your copyright, send a written notice to KUYY! that includes:

• identification of the copyrighted work claimed to be infringed;
• identification of the allegedly infringing material and its location on the Service;
• your contact information (name, address, and email);
• a good-faith statement that the use is not authorized by the copyright owner, its agent, or the law; and
• a statement that your information is accurate and that you are the copyright owner or authorized to act on its behalf.

Send the notice to KUYY!'s official email address. After receiving a valid notice, we may remove or disable access to the material, and we reserve the right to close the accounts of repeat copyright infringers.

9. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

KUYY! is not responsible for content posted, sent, or received by you, other members, or third parties through the Service. Any material you download or obtain through the Service is entirely at your own risk.

Third-Party Services

The Service may contain advertisements, promotions, and links to third-party sites or resources. KUYY! is not responsible for their availability or unavailability. Your interactions with third parties are governed by their own terms, and KUYY! is not responsible for the terms, actions, or policies of those third parties.

Limitation of Liability

To the extent permitted by applicable law, in no event will KUYY! be liable at all for any loss, damage, or liability of any kind arising out of or related to your access to, use of, or inability to access or use the Service, including interruptions, downtime, and the content and conduct of other members or third parties.

Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some or all of the limitations in this section may not apply to you.

10. DISPUTE RESOLUTION

Except for members residing in the European Union (EU) or the European Economic Area (EEA), or elsewhere where prohibited by applicable law:

• Any dispute or claim relating to this Agreement or the Service is resolved through BINDING ARBITRATION administered by JAMS under the JAMS Streamlined Arbitration Rules & Procedures.
• Exception: either party may bring an individual claim in small claims court if the jurisdictional requirements are met. If arbitration has already begun, the responding party may request that the dispute be resolved in small claims court.
• You agree not to bring, maintain, or participate in any class action, class arbitration, or other representative action against KUYY!.

By using the Service, you WAIVE YOUR RIGHT TO BRING A LAWSUIT IN COURT AND YOUR RIGHT TO A JURY TRIAL, and you CANNOT PARTICIPATE IN A CLASS ACTION. A neutral arbitrator will determine your rights and obligations and those of KUYY!; the decision may be enforced in court and may be set aside only in very limited circumstances.

For users in the EU or EEA, the European Commission online dispute resolution platform is available at http://ec.europa.eu/odr; however, KUYY! does not participate in consumer dispute resolution procedures through arbitration bodies for members residing in the EU or EEA.

Governing Law

For members in the EU, EEA, or other regions where our arbitration agreement is prohibited by law, the law governing any dispute arising out of or relating to this Agreement or the Service is the law of the State of Texas, U.S.A., without regard to its conflict of laws rules. The arbitration agreement above is governed by the Federal Arbitration Act. The choice of Texas law does not override the mandatory consumer protection laws that apply in your jurisdiction.

Venue for Dispute Resolution

Except for members in the EU or EEA who may bring a claim in their country of residence, and except for claims that may be brought in a competent small claims court, all claims arising out of or relating to this Agreement, the Service, or your relationship with KUYY! that are not submitted to arbitration — including where arbitration is found to be unenforceable — must be resolved exclusively in the federal or state courts of Dallas County, Texas, U.S.A. You and KUYY! consent to the personal jurisdiction of those courts and waive any right to claim that those courts are an inconvenient forum.

11. INDEMNIFICATION BY YOU

To the extent permitted by applicable law, you agree to release KUYY!, its affiliates, and our officers, directors, agents, and employees from liability, and to defend and indemnify them from any complaints, demands, claims, damages, costs, liabilities, and expenses — including attorneys' fees — arising out of or relating to:

• your access to or use of the Service;
• Content you upload or share through the Service; or
• your breach of this Agreement.

12. ENTIRE AGREEMENT AND OTHER TERMS

This Agreement, together with the Privacy Policy, Cookie Policy, Safety Tips, Arbitration Procedures (where applicable), and any additional terms you agree to when purchasing additional features or services, constitutes the entire agreement between you and KUYY! regarding your use of the Service.

If any provision of this Agreement is held invalid, the remaining provisions remain in full force and effect. KUYY!'s failure to exercise or enforce any right or provision is not a waiver of that right.

Your KUYY! account cannot be transferred to another party, and all rights to the account and its content end upon your death. This Agreement does not create any agency, partnership, joint venture, fiduciary, or employment relationship, and you have no right to represent or bind KUYY! in any way.
